Terms of Service

1. Acceptance of the Terms

By accessing and using the Asbl-vzw-easy platform (hereinafter "the Platform"), operated by nodio.be (hereinafter "the Publisher"), you agree to be bound by these Terms of Service (hereinafter "ToS"). If you do not accept these terms, please do not use the Platform.

2. Description of the service

The Asbl-vzw-easy Platform is a SaaS (Software as a Service) service for Belgian non-profit associations (ASBL/VZW). It provides compliance automation tools, including:

  • UBO register management
  • Generation of official forms (Formulaire I & II for the Belgian Official Gazette)
  • Quorum calculation for assemblies
  • Patrimony tax declaration (187.3)
  • Governance and mandate tracking
  • Volunteer reimbursement management
  • Donation tax certificates
  • NBB Social Balance
  • Narrative report generation
  • Subsidy document register

3. Registration and user account

Use of the Platform requires creation of an account. You are responsible for the confidentiality of your login credentials and for all activities carried out under your account. You undertake to provide accurate and up-to-date information when registering.

4. Subscriptions and billing

The Platform offers different subscription plans (Starter, Essentials, Pro, Accountant) with distinct features and prices. The details of each plan are available on the pricing page.

  • Payments are processed securely by our PCI-DSS-certified payment provider.
  • Paid subscriptions are billed on a recurring basis (monthly or annual) according to the plan chosen.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • The Publisher reserves the right to modify the prices with a 30-day notice period.

5. Intellectual property

The Platform, its source code, design, texts, logos, and features are the exclusive property of the Publisher and are protected by Belgian and international intellectual property laws.

You retain ownership of all data you enter into the Platform. You grant the Publisher a limited license to use this data solely for the purpose of providing the service.

6. Data protection (GDPR)

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these ToS. The Publisher commits to complying with the General Data Protection Regulation (GDPR — Regulation EU 2016/679) and the Belgian law of 30 July 2018 on the protection of natural persons with regard to the processing of personal data.

7. Availability of the service

The Publisher strives to keep the Platform available 24/7, but cannot guarantee uninterrupted availability. Interruptions for maintenance, updates, or cases of force majeure may occur.

8. Disclaimer and limitation of liability

8.1 Nature of the service — best-efforts obligation

The Platform is provided "as is" and "as available". The Publisher enters into a best-efforts obligation (obligation de moyens) and not a result obligation within the meaning of articles 5.68 et seq. of the Belgian Civil Code. The Publisher commits to making all reasonable efforts to ensure the proper operation of the Platform, but does not guarantee continuous, uninterrupted, or error-free operation.

8.2 Assistance tool — not legal or accounting advice

The Platform is an administrative management assistance tool. It does not in any way replace the advice of a lawyer, accountant, notary, or any other qualified person. The forms, declarations, calculations, and documents generated by the Platform are provided for informational purposes and must be verified by the user (or by their professional advisor) before any submission to the competent authorities (SPF Finances, Official Gazette, NBB, etc.).

8.3 Accuracy of data and generated documents

The Publisher does not guarantee the accuracy, completeness, or currency of the information, forms, or documents generated by the Platform. The quality of the generated documents depends directly on the accuracy of the data entered by the user. The user is solely responsible for the verification and validation of any document before use or official filing.

8.4 Data loss

Although the Publisher implements reasonable technical measures to protect data (encryption, regular backups, access control), the Publisher cannot guarantee the total absence of risk of loss, alteration, or destruction of data, whether due to technical failure, cyberattack, human error, or any other cause.

The user is encouraged to keep their own backup copies of important data and generated documents. The Publisher cannot be held liable for data loss except in case of gross or intentional fault on their part.

8.5 Exclusion of indirect damages

Within the limits permitted by Belgian law (Article VI.83, 25° of the Code of Economic Law), the Publisher cannot under any circumstances be held liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Data loss or data corruption
  • Fines, sanctions, or administrative penalties
  • Delays in filing or declaration to the authorities
  • Lost profits or revenue losses
  • Image or reputation damage
  • Costs of data or document reconstruction
  • Damages resulting from the temporary unavailability of the service

8.6 Liability cap

In any event, the total liability of the Publisher, for all causes combined, is limited to the total amount of subscriptions actually paid by the user in the twelve (12) months preceding the event giving rise to the damage. For users of the free plan (Starter), the liability of the Publisher is limited to a maximum amount of one hundred euros (€100).

8.7 Legal exceptions

In accordance with Belgian law, the limitations and exclusions of liability set out in these ToS do not apply in case of fraud (intentional fault), gross fault of the Publisher, or injury to the life, physical integrity, or health of the user.

9. Force majeure

The Publisher cannot be held liable for the non-performance or delay in the performance of its obligations resulting from a case of force majeure within the meaning of Article 5.226 of the Belgian Civil Code, including:

  • Natural disasters, pandemics, or epidemics
  • Cyberattacks, network or server outages
  • Failure of third-party infrastructure providers
  • Acts of war, terrorism, or riots
  • Government decisions or legislative changes
  • Strikes or labour disputes
  • Electricity or telecommunications outages

In case of force majeure, the obligations of the Publisher are suspended for the entire duration of the event. If force majeure persists for more than 90 days, either party may terminate the contract without compensation.

10. User data backup

The user acknowledges that it is their responsibility to take the necessary measures to back up their own data. It is recommended to regularly download the generated documents (PDFs, NBB files, XML exports) and to keep independent copies of the information entered into the Platform. The Publisher provides export functionalities for this purpose.

11. Acceptable use

You undertake not to:

  • Use the Platform for illegal or fraudulent purposes
  • Attempt to access the Platform's systems without authorisation
  • Disrupt the normal operation of the Platform
  • Copy, modify, or distribute the Platform's content without permission
  • Use the Platform on behalf of third parties without an appropriate subscription

12. Termination

The Publisher reserves the right to suspend or terminate your account in case of violation of these ToS, subject to prior notification except in case of emergency. In case of termination, your data will be kept for 30 days to allow for its export, after which they will be deleted in accordance with our Privacy Policy.

13. Modifications to the ToS

The Publisher reserves the right to modify these ToS at any time. Users will be informed of any substantial modification by email or by notification in the Platform. Continued use of the Platform after notification constitutes acceptance of the modified ToS.

14. Applicable law and jurisdiction

These ToS are governed by Belgian law. Any dispute relating to the interpretation or performance of these ToS will be submitted to the exclusive jurisdiction of the courts of the judicial district of Brussels, Belgium.
